Welcome to Euda. By accessing or using our AI-powered workplace wellbeing companion ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms apply to all users, including employees, employers, and organisations that access Euda via Slack, Microsoft Teams, or other integrations.

2. Service Description

Euda is an AI-powered workplace wellbeing companion designed to:

  • Provide personalised wellbeing support to employees
  • Generate aggregated insights into psychosocial risks
  • Support organisational wellbeing initiatives
  • Integrate with workplace communication platforms

Important:

Euda is not a substitute for professional medical, mental health, or clinical advice. If you are experiencing a mental health crisis, please contact emergency services or a qualified healthcare provider immediately.

3. User Responsibilities

By using Euda, you agree to:

  • Provide accurate and truthful information
  • Use the Service in compliance with applicable laws and regulations
  • Not misuse the Service for surveillance, harassment, or discrimination
  • Maintain the confidentiality of any access credentials
  • Not attempt to reverse engineer, decompile, or extract source code
  • Not use the Service to transmit malicious code or engage in harmful activities

4. Organisation Responsibilities

Organisations using Euda agree to:

  • Obtain appropriate employee consent before deploying the Service
  • Use aggregated insights ethically and in compliance with privacy laws
  • Not use Euda for performance management, disciplinary action, or employee surveillance
  • Maintain appropriate security measures for integration credentials
  • Notify employees about how wellbeing data will be used

5. Data and Privacy

Your use of Euda is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

Key points:

  • All data is stored in Australia (AWS Sydney Region)
  • Data is encrypted in transit and at rest
  • Individual conversations are confidential and not shared with employers
  • Only aggregated, anonymised insights are provided to organisations
  • You have the right to access, correct, or delete your personal data

6. Intellectual Property

Euda and all related intellectual property, including software, algorithms, branding, and content, are owned by Neu21 Pty Ltd or its licensors. These Terms do not grant you any ownership rights in the Service.

You retain ownership of any information you provide to Euda, but grant us a licence to use it for the purposes described in our Privacy Policy.

7. Service Availability

We strive to provide reliable and continuous service, but we do not guarantee that Euda will be available at all times. The Service may be subject to:

  • Scheduled maintenance
  • Emergency maintenance
  • Service interruptions due to technical issues
  • Third-party service dependencies (AWS, Slack, Microsoft Teams)

We will make reasonable efforts to notify users of planned maintenance in advance.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Euda is provided "as is" without warranties of any kind
  • We are not liable for any indirect, incidental, or consequential damages
  • We are not liable for decisions made based on AI-generated insights
  • Our total liability shall not exceed the fees paid by you (if any) in the 12 months preceding the claim

9. Termination

You may stop using Euda at any time. Organisations may terminate their subscription according to their service agreement.

We reserve the right to suspend or terminate access to the Service if:

  • You violate these Terms
  • You engage in fraudulent or harmful activities
  • Required by law or regulation
  • We discontinue the Service (with reasonable notice)

10. Indemnification

You agree to indemnify and hold harmless Neu21 Pty Ltd, its affiliates, and employees from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

11. Dispute Resolution

These Terms are governed by the laws of New South Wales, Australia.

In the event of a dispute, the parties agree to first attempt resolution through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Sydney, Australia, in accordance with the Australian Centre for International Commercial Arbitration (ACICA) rules.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via:

  • Email notification to registered users
  • In-app notification
  • Update to the "Effective Date" at the top of this page

Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Euda regarding the use of the Service.
